Terms &
Conditions

Effective: October 6, 2026 | Last updated: October 6, 2026

1. Agreement structure

These Terms of Service (“Terms“) govern access to and use of the Ajelix platform and services provided by SIA AJELIX, registration number 40203482950, registered office Peldu iela 7, Jelgava, LV-3002, Latvia (“Ajelix“, “we”, “us”), by the person or entity that registers or subscribes (“Customer“, “you”).

Your agreement consists of, in order of precedence:

  • an applicable Order Form (subscription selection, plan, term) — including checkout at ajelix.com/pricing, or a custom enterprise contract;
  • these Terms;
  • the Data Processing Agreement (incorporated by reference, applies when we process personal data on your behalf);
  • the Acceptable Use & AI Usage Policy (incorporated by reference);
  • the Privacy Policy (for our own processing as controller);
  • any signed enterprise agreement, which prevails over these Terms for that Customer.

2. The service

“Service” means the Ajelix agentic AI workspace and related products — the AI chat, Excel/Sheets/Docs/Slides/Forms add-on (AI Agent for Work), finance, marketing, analytics, and PowerPoint agents, provided at chat.ajelix.com, cloud.ajelix.com, api.ajelix.com, cloud-api.ajelix.com, and the Google Workspace Marketplace — together with support per your plan.

The Service is provided to business customers and consumers alike. If you are a consumer (acting outside a trade or profession), the mandatory consumer-protection rights of your country of residence apply in addition to these Terms (see §15).

AI processing location. The Service’s AI inference runs on servers owned and operated by Ajelix, located in the EU. Your content is not sent to external AI providers. Exception: in exceptional situations, such as a disruption of our own infrastructure, we may use a vetted external AI provider for as long as needed to keep the Service available; the safeguards that apply are described in the Privacy Policy §5 and the Subprocessor List.

Trial. New accounts get a 7-day free trial. Trial usage is non-transferable and may be withdrawn for abuse.

Beta features. Features marked beta/preview are provided “as is”, may be discontinued with 30 days’ notice, and are excluded from SLA commitments.

3. Account and access

  • You must register with accurate information and keep credentials confidential. Accounts are personal to the Customer; licensing is per-seat for business customers (platform fee per seat including usage) and per-user for consumers, plus any additional services or excess AI usage.
  • You must be at least 18 years old and legally able to contract.
  • You are responsible for activity under your account. Notify us immediately of unauthorized use.
  • We may suspend access (with notice where practicable) for: non-payment, security risk, violation of the Acceptable Use Policy, or legal compliance — see §11.

4. Orders, fees, usage limits

  • Fees are those stated at checkout, plus applicable VAT or sales tax. Business plans consist of a platform fee per seat that includes an AI usage allowance.
  • Usage limits. Plans include a fixed amount of AI usage per billing period; unused usage does not roll over. Once the included usage is exhausted, the Service will cease processing further AI tasks until the next billing period or an upgrade; overage charges are not billed automatically. Additional usage or services may be purchased separately.
  • Payment is processed by Stripe (cards) and Swedbank (bank payment references). Invoices are available in your billing portal; Latvian VAT rules apply to B2C EU sales, reverse-charge to B2B EU sales.
  • Price changes. We may change prices with at least 30 days’ notice before the next renewal; current-term prices are unaffected.
  • Enterprise customers purchase through a custom process: invoicing, contracts, and custom terms are available per customer; there is no self-service billing for enterprise agreements.

5. Term, cancellation, termination

  • Your subscription runs for the initial term (monthly or annual) and renews automatically unless cancelled before renewal.
  • You may cancel at any time from account settings (or, for enterprise customers, per your contract); cancellation takes effect at the end of the current paid term.
  • No mid-term cancellation refunds. Business subscriptions run to the end of the paid term. The sole exception is a change to the product that renders it not usable for you (§16), in which case you may terminate and receive a pro-rata refund of prepaid, unused fees.
  • Refunds are governed by the Refund Policy: refunds are available where the Service was not used and resources were not spent (subject to proof), where we fail to deliver (for example, where the product is unavailable or support does not respond), and for consumers per statutory rights.
  • We may terminate for material breach not cured within 30 days of notice, provided the breach is capable of being cured (irremediable situations such as insolvency are excepted); for non-payment after a 14-day grace period; or where legally required.
  • Effect of termination: access ends at the end of the paid term (or immediately for cause). Data deletion: upon deletion of your account, all customer data — prompts, outputs, files, and usage data — is permanently and irreversibly deleted immediately, with no recovery possible. You should export anything you wish to keep before deleting your account; no export window follows account deletion. For termination by either party, you may request an export of Customer Data within 14 days of the effective date of termination (DPA §8, Privacy Policy §7).
  • Survival: §6–§9 (IP, data, liability), §12–§14 survive termination.

6. Intellectual property

  • Your data. You retain all rights to Prompts, files you upload, and outputs generated for you (“Customer Data”). We claim no ownership.
  • License to us. You grant us a limited, worldwide, non-exclusive license to host, process, and reproduce Customer Data solely to provide and support the Service, per these Terms, the Privacy Policy, and the DPA. We do not use Customer Data to train AI models.
  • Feedback. If you give feedback or suggestions, you grant us a perpetual, royalty-free license to use it for improving our products without obligation or attribution.
  • Our property. The Service, software, models, agents, documentation, and Ajelix marks are our intellectual property or licensed to us. You get no rights except the access rights in these Terms.
  • Ownership of outputs. To the extent any element of an output is protectable and originates from our platform, we assign our rights in that specific output to you. Note: purely machine-generated content may not attract copyright protection at all under Latvian and EU law; your rights depend on your own creative contribution. Third-party licensors’ terms may impose their own constraints where licensed components are involved.

7. Customer responsibilities and restrictions

You must not (full list in the Acceptable Use Policy, which is binding):

  • use the Service unlawfully; infringe rights; process data for which you lack a lawful basis or required permissions (including uploading others’ files you are not licensed to process);
  • upload malware; probe, scan, or breach security; reverse engineer except where law permits; circumvent rate limits or access controls; resell access without a partner agreement with Ajelix;
  • use the Service to generate content that is illegal, infringing, deceptive, or discriminatory — see the AI Usage Policy;
  • exceed plan limits (see §4) or share accounts between organizations.
    We may enforce these restrictions (suspension, content blocking, termination) as described in §11.

8. Data processing and security

  • Roles. Where we process personal data on your behalf, you are controller, we are processor. The DPA applies automatically.
  • Security. We maintain the program described on the Security page: encryption in transit and at rest, VPN and two-factor authentication for access, tenant isolation, and audit logging.
  • Data location. All platform data, including AI inference, is hosted in the EU/EEA (Hetzner DE, OVHcloud DE, and Ajelix-owned servers).
  • Confidentiality. We treat your non-public Customer Data as confidential, use it only to provide the Service, and protect it with at least reasonable care.
  • Your backups. We run backups on a 30–60 day cycle, but you remain responsible for maintaining your own copies of source files outside the Service where their loss would harm you.

9. Warranties, disclaimers, AI outputs

  • We warrant that the Service will perform materially in accordance with its documentation during the term and that we have the right to enter into these Terms. Exclusive remedy for breach of the performance warranty: re-performance or refund of the unused proportionate fees.
  • AI outputs. Outputs are generated automatically and may be inaccurate or incomplete. Ajelix does not warrant that outputs are correct, suitable for any purpose, or free of third-party rights. You are responsible for reviewing and validating outputs before use in any decision, document, filing, or professional work product. We are not your professional advisor; nothing in the Service constitutes legal, financial, accounting, or tax advice.
  • Except as stated above, the Service is provided “as is”, and we disclaim all other warranties to the maximum extent permitted by law. This §9 does not limit rights that cannot be excluded under mandatory law — consumer statutory rights are unaffected.

10. Service levels and support

  • Support response target: within 48 business hours for all paid customers, via email and in-product support.
  • Refund for service failure: if the product is materially unavailable or support fails to respond within the target, you may request a refund under the Refund Policy.
  • No uptime SLA is offered today; status and maintenance windows are published at status.ajelix.com. Enterprise customers may negotiate custom SLAs in their contract.

11. Enforcement and suspensions

We may, with notice where practicable: suspend access for non-payment, suspected security incidents, AUP violations, or legal demands; remove content that violates the AUP; and throttle or disable features for abuse. Where feasible we will tell you the reason and remedy. Emergency suspension (active security threat, illegal content) may occur without prior notice; we will notify you as soon as possible afterwards. Nothing in this section reduces your rights to termination for cause.

12. Indemnification

  • By you (business customers): you will defend and indemnify us against third-party claims arising from (a) Customer Data (e.g. you had no right to process it), (b) your breach of these Terms or the AUP, or (c) your use of outputs in violation of law.
  • By us (to all Customers): we will defend and indemnify you against third-party claims that the Service, as provided by us, infringes their intellectual property rights.
  • Procedures: prompt notice, control of defense by the indemnifying party, reasonable cooperation.

13. Limitation of liability

  • Neither party is liable for indirect, consequential, special, or punitive damages, or for lost profits, revenue, or goodwill, except as follows.
  • Each party’s total aggregate liability is capped at the platform fees paid or payable in the 12 months before the claim arose. AI usage fees and expert hourly fees are excluded from the basis of this cap (reflecting the consumption-based nature of those charges).
  • Carve-outs (uncapped): breach of confidentiality; IP indemnity; liability for death, personal injury, fraud, willful misconduct, or gross negligence; liability that cannot be limited by law.
  • Consumers keep all mandatory statutory protections; nothing here excludes or limits consumer rights under Latvian or EU law.

14. Governing law and disputes

  • These Terms are governed by Latvian law, without regard to conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods is excluded.
  • Business customers: exclusive jurisdiction of the courts of Latvia.
  • Consumers: you may bring proceedings in your country of residence; EU consumer mandatory protections apply. Alternative dispute resolution: consumer disputes may be submitted to out-of-court dispute resolution in accordance with Latvian law (the Out-of-Court Consumer Dispute Resolution Law). We ask that you contact support@ajelix.com first so that we may attempt to resolve the matter informally.

15. Consumers (EU)

If you are a consumer: statutory right of withdrawal for distance contracts (14 days — see the Refund Policy, including how immediate access to digital services affects it); conformity remedies under the Digital Content Directive (bringing into conformity, price reduction, termination); and the mandatory protections of your residence country prevail over anything inconsistent here.

16. Changes to the Service and these Terms

  • We may modify the Service (features, agents, add-ons). If a change renders the product not usable for you, you may terminate with a pro-rata refund of prepaid, unused fees.
  • We may update these Terms with 30 days‘ notice by email or in-product notice. Continued use after the effective date constitutes acceptance. Materially adverse changes give you a termination right with pro-rata refund of prepaid fees. Consumers: changes that require consent under mandatory law will be asked for explicitly.

17. General

Entire agreement (with the documents in §1); no waiver by silence; assignment by us requires your consent (except to affiliates or in connection with a merger or sale of substantially all assets, of which you will be notified); notices to the addresses/emails on file; severability of invalid provisions; no partnership/agency created; force majeure excuses performance. English is the governing language; translations are for convenience only — in case of conflict the English version prevails.
